Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Zent Networks (“Zent Networks,” “we,” “us,” or “our”) governing your access to and use of zentnetworks.com (the “Site”) and all services and products provided by Zent Networks (collectively, the “Services”).

By accessing the Site, purchasing Services or products, or entering into a service agreement with us, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

2. Eligibility

You must be at least 18 years old and authorized to bind your organization to these Terms. By agreeing, you represent that you have the authority to enter into this agreement on behalf of your business.

3. Services and Products

Zent Networks provides:

• Managed Infrastructure Services: Subscription-based IT operations and monitoring
• Professional Services: Fixed-scope technology projects
• Cybersecurity Services: Subscription-based security and SOC services
• Technology Supply: Hardware, software, and SaaS products available for purchase

Specific scope, deliverables, and pricing are defined in individual Service Agreements, Statements of Work (SOWs), or Order Forms.

4. Account Registration

To purchase products or services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Orders and Acceptance

5.1 Placing Orders

When you place an order through the Site, you are making an offer to purchase. All orders are subject to acceptance by Zent Networks.

5.2 Order Confirmation

We will send an order confirmation email once we accept your order. The contract is formed when you receive this confirmation.

5.3 Pricing

All prices are in U.S. Dollars and are subject to change without notice. The price charged will be the price displayed at the time you place your order.

5.4 Errors

We reserve the right to correct pricing or product description errors and to cancel orders based on incorrect information.

6. Payment Terms

6.1 Payment Methods

We accept: Credit cards (Visa, Mastercard, American Express, Discover) and ACH bank transfers. By providing payment information, you authorize us to charge the applicable fees using your selected method.

6.2 Billing

• Subscription Services: Billed monthly or annually in advance. Automatic recurring billing unless cancelled.
• Hardware and Software Products: Billed at time of order confirmation. Payment due before shipment or delivery.
• Professional Services: Billed per milestone or upon completion as defined in SOW.

6.3 Failed Payments

If payment fails, we may retry the charge, suspend or terminate Services, charge late fees of 1.5% per month (or maximum allowed by law), or pursue collection.

6.4 Taxes

Prices do not include sales tax, use tax, VAT, or other applicable taxes. You are responsible for all taxes except those based on our net income. All transactions are in U.S. Dollars.

7. Refunds and Cancellations

7.1 Subscription Services

No refunds are provided for subscription services. You may cancel at any time by providing written notice to billing@zentnetworks.com. Cancellations take effect at the end of the current billing cycle with no prorated refunds.

7.2 Hardware Products

No refunds except for Dead on Arrival (DOA) products reported within 14 days of receipt, or manufacturer-approved returns under warranty. Submit return requests to returns@zentnetworks.com. Returns may incur restocking fees (typically 15–25%). Client is responsible for return shipping unless the product is defective.

7.3 Software and SaaS Products

No refunds once license keys or access credentials have been issued. Digital products are non-refundable.

7.4 Professional Services

Refund eligibility defined in the applicable SOW. Generally, no refunds for work completed or milestones achieved.

7.5 Chargebacks

Initiating a chargeback instead of contacting us may result in immediate account suspension. Contact billing@zentnetworks.com to resolve disputes.

8. Shipping and Delivery

Hardware products are shipped via carrier selected at checkout (UPS, FedEx, USPS, freight). Shipping fees are calculated at checkout. Estimated delivery times are not guaranteed. Risk of loss and title pass to you upon delivery to the carrier. Inspect all shipments immediately upon receipt — report damage or shortages within 48 hours to shipping@zentnetworks.com. International orders may be subject to customs duties and fees for which you are responsible.

9. Product Warranties

Hardware products are covered by manufacturer warranties only. We provide no additional warranties. Warranty claims must be processed through the manufacturer — we will provide reasonable assistance. Software is licensed “as is” per the publisher's license agreement. Services are performed in a professional and workmanlike manner consistent with industry standards.

Disclaimer: Except as expressly stated, all products and services are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

10. Acceptable Use

You may not use our Site, Services, or products to:

• Violate any law or regulation
• Infringe intellectual property rights
• Transmit malware or malicious code
• Engage in fraud, phishing, or spam
• Attempt unauthorized access to our systems
• Interfere with other users or our operations

Violations may result in immediate termination without refund.

11. Intellectual Property

All content on the Site, including text, graphics, logos, software, and design, is the property of Zent Networks or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Site without our prior written consent.

12. Third-Party Products and Services

We may sell or integrate third-party products and services. We are not responsible for third-party performance, quality, warranties, or support. Your use of third-party products is governed by their respective terms and licenses.

13. Limitation of Liability

To the maximum extent permitted by law: our total liability for any claim shall not exceed the amount paid by you in the 12 months preceding the claim, or $100, whichever is greater. We are not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, business interruption, or reputational harm. Our liability for defective products is limited to replacement, repair, or refund at our discretion, not to exceed the purchase price.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zent Networks, its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of products or Services, violation of these Terms, infringement of third-party rights, or misuse of products.

15. Privacy and Data

Your use of the Site and Services is subject to our Privacy Policy. By using our Site, you consent to our collection and use of information as described therein.

16. Term and Termination

These Terms remain in effect as long as you use the Site, Services, or maintain an account. You may cancel subscription services at any time, effective at the end of the current billing period. We may suspend or terminate your account immediately for breach of these Terms, non-payment, fraudulent activity, or security risk. You remain liable for all fees incurred prior to termination. We may delete your data 30 days after termination.

17. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.

Informal Resolution: Before filing a claim, contact us at legal@zentnetworks.com to attempt resolution.

Arbitration: Any dispute will be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Chicago, Illinois. Each party bears its own costs unless otherwise awarded. You waive the right to participate in class actions.

Exceptions: Either party may seek injunctive relief in court for intellectual property or confidentiality breaches.

Jurisdiction: If arbitration does not apply, you consent to exclusive jurisdiction in the state and federal courts located in Cook County, Illinois.

18. General Provisions

These Terms, together with any Service Agreement or Order Form, constitute the entire agreement. We may update these Terms at any time — material changes will be posted with an updated “Last Updated” date and continued use constitutes acceptance. If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our written consent. Neither party is liable for delays due to circumstances beyond reasonable control.
